Technical Due Diligence ensures platform maturity and AI moat towards greenfield competitors

Netlight has conducted a comprehensive Technical Due Diligence for a market-leading SaaS provider in the Nordics, enabling the largest M&A transaction in Europe in Q2 2025. The assessment validated platform maturity, AI-driven innovation, and key differentiators, providing insights to support the strategic acquisition.

About the client

EQT AB is a financial service company that specialises in private capital, real assets, and private investment services.

Challenge

The key challenge was to assess the complexity of the architecture under increasing demands for scalability, performance, and security. At the same time, the company needed to demonstrate a strong cybersecurity posture and regulatory compliance, while exploring how proprietary data could fuel AI-driven automation to strengthen its competitive advantage.

Solution

Netlight conducted the due diligence in a two-phased approach. The first phase was an outside-in review, during which Netlight gathered insights into the platform’s performance, scalability, and user experience by assessing critical user flows and leveraging expert networks. The second phase, with inside access, involved a deep dive into the technical architecture, infrastructure, and security setup. This allowed the team to validate hypotheses, uncover potential risks, and evaluate how well the platform was positioned to support future growth and AI-driven innovation.

Impact

  • Outlined the current maturity of the platform, key investment needs and risks, particularly pertaining to the current AI capabilities and moat against competitors.
  • Provided the client with critical insights to validate their public offer, supporting informed decision-making and increasing confidence in the target’s platform.
  • The successful collaboration highlighted Netlight’s role as a trusted partner in technical due diligence, enabling the client to pursue a strategic acquisition with clarity and conviction.
